Identify the transfer before setting a timetable

California ABC describes a person to person transfer as an existing license moving to a new owner. The required documents depend on the applicant and license involved.

Ask the Department of Alcoholic Beverage Control and your attorney whether your proposed transaction is this transfer type or another change. An asset purchase and an entity transaction may raise different questions.

Coordinate the application with escrow

ABC instructions address escrow where consideration is paid for the transfer of a business. Use an escrow officer familiar with business sales involving alcohol licenses.

Keep the buyer identity, premises and purchase terms aligned across the escrow and application documents. A mismatch can cause questions late in the transaction.

Use the current application checklist

ABC’s person to person checklist identifies forms such as application and intended transfer notices. It is not a universal list for every entity, license or transaction.

Ask the local ABC office which forms and supporting documents apply. Do not promise a fee, approval date or permission to operate merely because escrow has opened.

Treat approval as its own condition

A signed purchase agreement does not itself authorize a buyer to sell alcohol. Your attorney should address approval conditions and responsibility if the transfer does not complete.

For a restaurant sale, the County Department of Environmental Health and Quality may also have food permit steps. Alcohol and food permissions should be tracked separately.

Confirm the plan for your transaction

This alcohol license transfer guide is general information, not tax or legal advice. Ask your CPA or attorney to confirm the current agency requirements for your actual sale.

Include alcohol license transfer in your agency task list. Keep the related figures consistent with the earnings file used to discuss value.

The alcohol license transfer process is separate from requesting a business valuation. Keep sensitive agency records out of the initial request form.
