Know why a buyer asks for clearance

California tax clearance concerns the buyer’s exposure to certain unpaid seller taxes. It does not replace the seller’s own responsibility for amounts owed.

CDTFA explains that a buyer generally must withhold enough of the price to cover applicable outstanding liabilities unless the buyer obtains the appropriate clearance.

Give escrow a complete sale record

Ask who will request clearance and follow up with CDTFA. The request needs details about the parties, the business, purchase price and transaction.

A bill of sale or purchase agreement and escrow information help connect the request to the actual transaction. Keep every location and the selling entity consistent across the records.

Leave time for the review

CDTFA says clearance can take 60 days or more, particularly when an audit or missing records delay review. Treat that as a planning warning, not a promised completion date.

Ask your escrow officer what funds will be retained and under what conditions they can be released. An agreed closing date does not eliminate an unresolved tax holdback.

Keep clearance separate from other signoffs

The California Department of Tax and Fee Administration handles this clearance. Other agencies or accounts may require their own work; your CPA should identify which apply.

Do not confuse a buyer’s clearance request with shutting down your seller permit. Closing an account and resolving successor exposure are related but different tasks.

The Franchise Tax Board also publishes business transfer guidance. Ask your CPA which FTB tax matters need attention separately from the CDTFA clearance process.

Confirm the plan for your transaction

This tax clearance guide is general information, not tax or legal advice. Ask your CPA or attorney to confirm the current agency requirements for your actual sale.

Include tax clearance in your agency task list. Keep the related figures consistent with the earnings file used to discuss value.

The tax clearance process is separate from requesting a business valuation. Keep sensitive agency records out of the initial request form.
